*An accredited investor can be a natural person or entity. If a natural person, an accredited investor is someone for whom one or more of the following criteria is true:
– had, in each of the prior two years, and reasonably expects for the current year, either individual income exceeding $200,000 or joint income with a spouse exceeding $300,000;
– has a net worth greater than $1 million, either alone or together with a spouse, excluding the value of the person’s primary residence;
– is a FINRA member in good standing and holds any of Series licenses 7, 65, or 82.
If an entity, an accredited investor has more than $5 million of net assets and was not formed for the specific purpose of investing in a Windmuehle Series. An entity is also an accredited investor if it is wholly owned by natural persons who are themselves accredited investors.
